1. Acceptance of these Terms
These Terms of Service constitute an agreement between you and Expertise Holdings LLC, doing business as NavStreet (“NavStreet,” “we,” “us,” or “our”). They govern your access to and use of the NavStreet website, applications, services, features, content, and related technology (collectively, the “Service”).
By accessing the Service, creating an account, publishing a property listing, submitting an offer, or otherwise using the Service, you agree to these Terms and acknowledge the NavStreet Privacy Policy.
If you do not agree to these Terms, you must not use the Service.
2. NavStreet’s role
NavStreet provides technology that allows property owners, prospective buyers, and participating service providers to exchange information and manage portions of a real-estate transaction.
Unless expressly stated otherwise in a separate written agreement, NavStreet is not:
- A real-estate broker, agent, REALTOR®, or multiple-listing service
- A party to any purchase, sale, financing, inspection, appraisal, title, insurance, or closing agreement
- A law firm or provider of legal advice
- A mortgage lender, mortgage broker, loan originator, appraiser, inspector, title company, insurer, or closing attorney
- A fiduciary or representative of any buyer, seller, or service provider
NavStreet does not negotiate on behalf of users, determine property value, verify that transaction terms are favorable, or guarantee that any transaction will be completed.
3. Eligibility and accounts
You must be at least 18 years old and legally capable of entering into a binding agreement to use account-based features of the Service.
You agree to provide accurate, current, and complete information and to keep your account information updated. You are responsible for all activity occurring through your account and for protecting access to your email and devices.
NavStreet uses passwordless email verification and may require identity verification before allowing certain activities, including publishing a listing or participating in a transaction. You may not create an account using another person’s identity or provide false or misleading information.
You must promptly notify us at legal@navstreet.com if you believe your account has been accessed without authorization.
4. Property listings and seller responsibilities
A user who creates or publishes a property listing represents that the user owns the property or has sufficient lawful authority to advertise and sell it.
Sellers are solely responsible for:
- The accuracy, completeness, and legality of listing information
- Property descriptions, photographs, prices, features, condition statements, measurements, school information, taxes, association information, and disclosures
- Making all disclosures required by applicable law
- Maintaining accurate listing and availability statuses
- Responding to inquiries, showing requests, and offers
- Obtaining legal, tax, title, inspection, and other professional assistance when appropriate
Sellers must not publish information that is false, deceptive, discriminatory, unlawful, infringing, or materially incomplete.
NavStreet may remove, restrict, correct, or request verification of a listing when we reasonably believe it violates these Terms, applicable law, or the rights of another person.
5. Buyers, inquiries, showings, and offers
Buyers are responsible for independently evaluating properties, listing information, proposed transaction terms, and the qualifications of any professional involved in a transaction.
Listing information may be supplied by sellers and may not have been independently verified by NavStreet. Buyers should conduct inspections, confirm material facts, review public records, investigate title and property condition, and obtain appropriate legal and financial advice.
NavStreet communication and showing tools allow users to exchange information, but NavStreet does not supervise communications or guarantee the identity, conduct, availability, or responsiveness of another user.
Offer tools may assist users in preparing, transmitting, reviewing, countering, accepting, withdrawing, or tracking proposed transaction terms. NavStreet does not determine whether an offer or agreement is legally sufficient, enforceable, complete, or appropriate for a particular transaction.
Users should have any proposed purchase and sale agreement reviewed by a qualified attorney before relying upon or executing it.
6. Transaction timelines and organizational tools
NavStreet may provide checklists, timelines, reminders, status indicators, document tools, and other transaction-management features. These features are organizational tools only.
A date, task, reminder, or status displayed by NavStreet does not amend, extend, waive, or replace any contractual obligation. Users remain responsible for reviewing the executed agreement and independently complying with all applicable dates and requirements.
NavStreet does not guarantee that reminders will be delivered, received, or reviewed before a deadline. Users should maintain independent records and calendars for important transaction dates.
7. Fees, payments, promotions, and refunds
Certain NavStreet services require payment. Applicable fees, optional upgrades, discounts, taxes, and the total amount due will be disclosed before payment.
Payments are processed by third-party payment providers, including Stripe. You authorize the applicable payment provider to process charges associated with your selected services.
Promotion codes are subject to their stated eligibility requirements, expiration dates, usage limits, and service restrictions. A promotion has no cash value and may not be combined with another promotion unless NavStreet expressly permits it.
Refund eligibility, if any, will be determined by the terms presented at purchase, the status of the requested service, and applicable law.
8. User content and permissions
You retain ownership of content you submit to NavStreet, including listing descriptions, photographs, messages, documents, and other materials (“User Content”).
You grant NavStreet a nonexclusive, worldwide, royalty-free license to host, store, reproduce, display, format, distribute, and otherwise use your User Content as reasonably necessary to operate, secure, promote, and improve the Service and display your listing.
You represent that you own or possess all rights required to submit the User Content and grant this permission. You must not upload confidential information, copyrighted material, photographs, or other content unless you have authority to do so.
9. Prohibited conduct
You may not use NavStreet to:
- Violate fair-housing, anti-discrimination, consumer-protection, privacy, intellectual property, or other applicable laws
- Publish false, misleading, fraudulent, discriminatory, or unlawful information
- Impersonate another person or misrepresent your authority, identity, qualifications, or affiliation
- Harass, threaten, exploit, defraud, or harm another user
- Circumvent identity verification, security, payment, access-control, or usage restrictions
- Introduce malicious code, scrape the Service, perform automated data collection, or interfere with the operation of the Service without written authorization
- Use another user’s personal information for purposes unrelated to the transaction or communication for which it was provided
- Submit unlawful, abusive, unsolicited, or deceptive communications
10. Third-party services and professionals
NavStreet may integrate with or link to third-party services, including identity, payment, authentication, analytics, email, mapping, financing, and professional-directory services.
Third-party services operate under their own terms and privacy policies. NavStreet is not responsible for a third party’s services, availability, security, content, decisions, or conduct.
A professional’s presence in a NavStreet directory does not constitute an endorsement, guarantee, referral, or verification of that professional’s licensing, insurance, experience, availability, or suitability. Users are responsible for conducting their own investigation.
11. Electronic communications
By using NavStreet, you consent to receive electronic communications reasonably related to your account and use of the Service, including verification codes, security notices, listing activity, inquiries, showing requests, offers, transaction reminders, payment notices, and legal updates.
You are responsible for maintaining a current email address and reviewing communications sent to that address.
12. Privacy
NavStreet’s collection, use, disclosure, and protection of personal information is described in the Privacy Policy. By using the Service, you acknowledge that policy.
13. NavStreet intellectual property
The Service, including its software, design, branding, logos, interfaces, databases, text, graphics, and other materials supplied by NavStreet, is owned by Expertise Holdings LLC or its licensors and is protected by applicable intellectual-property laws.
These Terms do not grant you ownership of or a right to copy, modify, distribute, sell, reverse engineer, or create derivative works from the Service except as expressly authorized in writing.
14. Suspension and termination
NavStreet may investigate suspected violations and may restrict, suspend, or terminate access to the Service when reasonably necessary to protect users, comply with law, prevent fraud, preserve platform security, or enforce these Terms.
Termination does not eliminate obligations, payment responsibilities, accepted agreements, or liabilities arising before termination.
15. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” NAVSTREET DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND QUIET ENJOYMENT.
NavStreet does not warrant that listings, communications, users, professionals, calculations, valuations, school information, transaction dates, documents, or other information are accurate, complete, current, or suitable for a particular purpose.
NavStreet does not guarantee that a property will sell, that a buyer will obtain financing, that an offer will be accepted, or that a transaction will close.
16. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXPERTISE HOLDINGS LLC, NAVSTREET, AND THEIR OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOST OPPORTUNITIES, OR TRANSACTION LOSSES ARISING FROM OR RELATED TO THE SERVICE.
To the maximum extent permitted by law, NavStreet’s aggregate liability arising from or related to the Service will not exceed the greater of the amount you paid directly to NavStreet during the twelve months preceding the event giving rise to the claim or one hundred dollars.
Some jurisdictions do not permit certain exclusions or limitations. In those jurisdictions, these provisions apply only to the extent permitted by law.
17. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Expertise Holdings LLC, NavStreet, and their owners, officers, employees, contractors, and service providers from claims, liabilities, damages, judgments, losses, and reasonable costs arising from your User Content, your use of the Service, your transaction activity, your violation of these Terms, or your violation of another person’s rights.
18. Governing law and venue
These Terms and any dispute arising from or relating to the Service are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles.
Unless applicable law requires otherwise, any legal action arising from or relating to these Terms or the Service must be brought exclusively in a state court located in Franklin County, North Carolina, or a federal court having jurisdiction over Franklin County, North Carolina. You consent to the personal jurisdiction of those courts.
19. Changes to the Service or Terms
NavStreet may modify the Service and these Terms from time to time. When changes are material, we will provide notice through the Service, by email, or by another reasonable method.
The effective date and version displayed above identify the governing version. Continued use after revised Terms become effective constitutes acceptance where permitted by law. We may require express acceptance of a revised version.
20. Miscellaneous
These Terms and any policies expressly incorporated into them constitute the entire agreement between you and NavStreet concerning the Service, except for a separate written agreement signed by NavStreet.
If a provision is found unenforceable, it will be enforced to the greatest extent permitted, and the remaining provisions will remain effective. Failure to enforce a provision is not a waiver.
You may not assign these Terms without NavStreet’s written consent. NavStreet may assign these Terms in connection with a merger, acquisition, reorganization, asset transfer, or operation of the Service.
